Terms of Service

By creating an account or otherwise accessing or using Daili (“Service”), operated by Daili (“we”, “us”, “our”) at dailiapp.co, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Daili is a personal productivity platform that includes tools for task management, habit tracking, note-taking, financial tracking, CV building, workout logging, content creation, and integrations with third-party services such as Google Workspace. The Service is offered on a freemium basis with optional paid subscriptions (“Explore Plan”).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

• You must be at least 16 years old to create an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You agree to provide accurate and complete information when registering and to keep it up to date.
• You must notify us immediately at support@dailiapp.co if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload, post, or transmit any content that is unlawful, harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Infringe the intellectual property rights of any third party.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use automated scripts to scrape, crawl, or abuse the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Transmit viruses, malware, or other harmful code.
• Impersonate any person or entity.

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of accounts and reporting to law enforcement.

5.1 Free Plan

Daili offers a free tier with access to core features including the dashboard, todos, habits, finances, AI Studio, and archive. Free features may be adjusted at our discretion.

5.2 Explore Plan (Paid)

The Explore Plan unlocks premium features. Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are in USD unless stated otherwise.

5.3 Cancellation and Refunds

• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We do not provide refunds for unused portions of a subscription period, except where required by applicable law.
• If you cancel, you will retain access to Explore features until the end of the paid period, after which your account reverts to the free plan.

5.4 Price Changes

We may change subscription prices with at least 30 days' notice. Continued use of the paid plan after a price change takes effect constitutes your acceptance of the new price.

You retain full ownership of all content you create within Daili (todos, notes, CV data, etc.) (“Your Content”). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service.

We do not claim ownership of Your Content and will not share it with third parties except as described in our Privacy Policy or as required by law.

You are solely responsible for the content you create and for ensuring it does not violate any third-party rights or applicable laws.

Daili integrates with third-party services such as Google (Calendar, Gmail, Drive) and AI providers (OpenAI, Anthropic, Google, Groq). Your use of these integrations is subject to the respective third parties' terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

When you provide your own API keys for AI features, you are responsible for their security and for any costs incurred with the respective provider.

All content, design, software, branding, and materials comprising the Daili Service (excluding Your Content) are the intellectual property of Daili and are protected by applicable copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without our express written consent.

You are granted a limited, personal, non-transferable, non-sublicensable license to access and use the Service for its intended purpose.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or its servers are free of viruses or harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAILI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $10.

You agree to indemnify, defend, and hold harmless Daili and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at our discretion.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, both parties agree to submit to the jurisdiction of the competent courts.

We may revise these Terms at any time. The revised version will be posted on this page with an updated effective date. For material changes, we will provide at least 7 days' notice via email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
